Terms of Sale

1 Unless otherwise agreed by us in writing, these Conditions of Sale apply to all sales entered into by us, and these Conditions shall override and supersede any Conditions of Purchase stipulated by the Buyer, unless and to the extent that any such conditions of the Buyer have been specifically agreed in writing by us.

2 PRICES are those ruling at date of despatch.

3 ALL QUOTATIONS given are subject to goods offered being unsold and available at the receipt of order.

4 All prices quoted will be exclusive of VAT.

5 Until the Company has received payment in full, i.e., cash or cleared funds of all sums owed to it on any account by the Buyer, legal title to the goods shall remain with the Company.

6 THE COMPANY WILL NOT BE LIABLE IN LAW FOR ANY ARRANGEMENTS PROPOSED BY REPRESENTATIVES OR STAFF relating to supply, delivery, returns of payment, unless they are confirmed by writing within fourteen days, signed by a Director or General Manager of the Company.

7 All products in our catalogues are subject to alteration at any time without notice.

8 AS ORDERS FOR GOODS NOT ILLUSTRATED IN THE CURRENT ISSUE OF OUR PRICE AND STOCK LIST are considered special orders, cancellations or returns can only be accepted under our returns procedure and the Customer will be liable for any charges incurred in this respect.

9 CLAIMS FOR DAMAGE, SHORTAGE OR NON RECEIPT will not be entertained unless both carrier (where applicable) and the Company are advised in writing (fax) within 48 hours from date of Despatch Note.  No shortage claims will be accepted for goods signed for as “unexamined”.  Whilst every effort is made to honour obligations, the Company will not accept liability or claim arising from circumstances outwith its control.  Whilst we accept we have a responsibility to provide Proof of Delivery, we will not be liable for requests made 60 days after the date of invoice.

10 RETURNS will not be accepted without authorisation of an A&E Russell Customers Returns Note which should quote the Invoice Number or Despatch Note Number and Date.  Customer faults resulting in returns will be subject to a 10% handling charge.  Goods returned under complaint will be forwarded to the Manufacturer for Inspection and Report.  Goods returned under complaint cannot be accepted if they are in a soiled condition, i.e., mud, chemical waste, concrete, oil etc., as these are possible health hazards to both our own and our suppliers staff.  Any item received in a soiled condition will be returned to the customer for cleaning before being processed a stage further. A & E Russell delivery drivers are not allowed to accept returns unless previously authorised by way of above mentioned A & E Russell Customers Returns note.  Goods returned for exchange must be in original packaging and unworn.  Exchange of goods can only be accommodated within 30 days of original purchase date.  The above procedures are designed to help us to help you the customer bring the Complaint/Return to a satisfactory conclusion as quickly as possible.

11 Payment of Accounts is due not later than the last day of the Month following the Date of Invoice, unless by other written agreement.

12 The Company reserves the right to charge interest on Overdue Accounts.

13 Overdue accounts maybe sent to a third party for collection which may result in an administration charge being made.  

14 The illustration and definition of tools shown in our catalogue are intended as a guide to Buyers.  The Company cannot be held liable in law for any inaccuracies.

15 A minimum invoice value of £3.00 exclusive of VAT will apply.

16 Carriage will be paid on all orders over £50 provided delivery is made by our own transport.

17 Haulage charges on all goods sent by post or carrier will be at cost.
